1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and RevoFi, Inc. (“RevoFi,” “we,” “us,” or “our”) governing your access to and use of the revos.io website, the RevoFi mobile applications, the RVS token, smart contracts, and any related services (collectively, the “Services”).

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. By using our Services, you represent and warrant that you meet these requirements. You also represent that you are not located in, under the control of, or a national or resident of any country subject to United States sanctions or embargoes.

3. Description of Services

RevoFi provides a decentralized network ecosystem that includes:

  • RVS Token: A utility token built on Base L2 (Ethereum Layer 2) that powers the RevoFi ecosystem
  • Token Sale Platform: A platform for purchasing RVS tokens using various payment methods
  • Claims System: A mechanism for eligible users to claim airdropped tokens
  • Device Network: A decentralized network of hardware devices earning rewards
  • Intelligent Cloud: AI compute and cloud services accessible through RVS tokens

4. Wallet Connection and Security

To use certain features of our Services, you must connect a compatible cryptocurrency wallet. You are solely responsible for:

  • Maintaining the security of your wallet and private keys
  • All activities that occur under your wallet address
  • Ensuring your wallet is compatible with our Services
  • Understanding the risks associated with digital assets and blockchain transactions

We do not store your private keys and cannot recover access to your wallet if you lose your credentials.

5. RVS Token

5.1 Token Nature

RVS is a utility token designed to facilitate transactions within the RevoFi ecosystem. RVS is NOT:

  • A security, investment contract, or financial instrument
  • An offer or solicitation for investment
  • A representation of ownership or equity in RevoFi
  • A guarantee of any returns or profits

5.2 Token Utility

RVS tokens may be used within the RevoFi ecosystem for:

  • Purchasing Revos Data Credits (RDC) for cloud services
  • Accessing premium features and services
  • Participating in network governance (when available)
  • Receiving rewards for device operation and network participation

5.3 No Refunds

All token purchases are final. Due to the nature of blockchain transactions, we cannot reverse, cancel, or refund any token transactions once they are confirmed on the blockchain.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Services for any illegal purpose or in violation of any laws
  • Attempting to gain unauthorized access to our systems or other users' accounts
  • Interfering with or disrupting the integrity or performance of the Services
  • Using automated means (bots, scrapers) to access the Services without permission
  • Engaging in market manipulation, wash trading, or fraudulent activities
  • Circumventing any access controls or security measures
  • Infringing on the intellectual property rights of RevoFi or third parties
  • Transmitting malware, viruses, or other harmful code

7. Intellectual Property

The Services and all content, features, and functionality are owned by RevoFi and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. RevoFi's core technology is protected by U.S. Patent No. 12,293,359.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

8. Risk Disclosures

By using our Services, you acknowledge and accept the following risks:

  • Volatility: Digital asset prices are highly volatile and may fluctuate significantly
  • Regulatory Risk: Laws and regulations regarding digital assets may change
  • Technology Risk: Blockchain technology may contain bugs or vulnerabilities
  • Loss Risk: You may lose some or all of your digital assets
  • No Guarantees: We make no guarantees regarding the value or utility of RVS tokens
  • Smart Contract Risk: Smart contracts may contain errors or be exploited

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, REVOFI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REVOFI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content
  • Loss or theft of digital assets

11. Indemnification

You agree to defend, indemnify, and hold harmless RevoFi and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RevoFi regarding the use of the Services and supersede all prior agreements and understandings.
